Payer Terms of Use

Draft pending review by licensed counsel. If anything here conflicts with a written agreement you signed with the business you are paying, that agreement controls.

1. Who we are

TRGPay (trgpaynow.com) is a payment-link service operated by TRG Capital Enterprises LLC, a North Carolina limited liability company ("TRGPay", "we", "us"). These terms apply when you open a TRGPay pay link or make a payment through one.

2. What TRGPay does and does not do

TRGPay presents an invoice from a business ("the business") and lets you choose how to pay it. TRGPay is not a bank, does not open accounts for payers, and does not hold your money in a stored balance. Card and bank-transfer (ACH) payments are processed by our licensed payment processor. Zelle payments are sent by you from your own bank directly to the business's bank account; TRGPay only provides the instructions and the memo code used to match the deposit.

During Phase 1, every pay link on TRGPay is an invoice issued by TRG Capital Enterprises LLC or one of its own brands (for example, ValueProof). The business named on the pay page is responsible for the goods or services you are paying for.

3. Prices and fees

The pay page shows the invoice amount and the total for each payment method before you commit. TRGPay does not add a payment fee, convenience fee or card surcharge for any method: the total you pay is the invoice amount set by the business. The business pays the cost of processing your payment out of what it receives. Nothing is charged until you confirm. See Pricing.

4. Your responsibilities

5. When a payment is complete

A card payment is complete when the processor approves it. An ACH payment is complete when it settles, usually 2 to 4 business days later; a returned ACH payment cancels the receipt and the invoice becomes due again. A Zelle payment is complete when the deposit posts to the business's account and is matched to the memo code. We email a receipt when the payment is complete.

6. Refunds, errors and disputes

See Refunds and Disputes. Your rights under the Electronic Fund Transfer Act, the Fair Credit Billing Act and your card or bank agreement are not limited by these terms.

7. Electronic records

By using a pay link you agree to receive receipts and notices electronically, as described in the Electronic Records Consent.

8. Availability

We work to keep TRGPay available but do not promise uninterrupted service. If a payment method is unavailable, use another method shown or contact the business.

9. Limitation of liability

To the extent the law allows, TRGPay is not liable for indirect, incidental or consequential damages, and our total liability for any claim about a payment is limited to the amount of that payment. Nothing in these terms limits liability that cannot be limited under applicable law, including consumer-protection law in your state.

10. Governing law

These terms are governed by the laws of North Carolina and applicable federal law. If you are a consumer, you keep any protections given by the law of the state where you live, and you may bring a claim in the courts where you live. Business payers agree that disputes will be heard in the state or federal courts located in Wake County, North Carolina.

11. Changes

We may update these terms. The version in effect when you make a payment applies to that payment.
